2022 Nonprofit Law and Process Changes

In 2021 the state Legislature passed the Nonprofit Corporations Act (RCW 24.03A), which took effect on Jan. 1, 2022. Due to the significant changes in law, we are still updating our online Corporations & Charities Filing System (CCFS) to implement these changes.

We understand this is a severe inconvenience for our nonprofit customers. Our processing has been delayed, as the volume of filings that are manually processed in-house has dramatically increased our staff workload. We are diligently addressing the backlog of nonprofit Annual Reports in our queue; however, due to the delay in processing these reports, many nonprofits have received a delinquency notice.

Additionally, on June 3 nonprofits that had an expiration date of Jan. 31, 2022 were administratively dissolved. If you received a Notice of Administrative Dissolution on June 3, we have reversed the automatic dissolutions and removed the notices from your filing history. We will continue to process the annual reports as quickly as possible; once completed the affected nonprofits are returned to Active status. We have suspended the automatic dissolution process in CCFS until customers can resume filing Annual Reports online and once we have processed the backlog of submitted reports.

If your nonprofit is encountering any challenges due to the delay in processing the annual report, such as issues with funders or banking institutions, please contact us by email at [email protected], and we will make every effort to process the report right away.

We apologize for the inconvenience this situation presents to our nonprofit customers. We aim to have Annual Report filings for nonprofit corporations back online as soon as possible and other nonprofit corporation filings soon after. When it is time to file your Annual Report, please see our website www.sos.wa.gov/corps to determine if the nonprofit is able to file online as before.
